3. Client Responsibilities

When you engage our services:

You agree to provide accurate, current and complete information as required for services.
You must ensure you have all rights and permissions for the content you submit (text, images, videos).
You agree to respond timely to our requests and approvals to avoid delays.
You understand revisions and iterations may be subject to additional fees if they exceed the defined service scope.

4. Payment & Fees

Service fees, payment terms and schedules will be specified in the project agreement between you and us.
All fees are non-refundable unless otherwise expressly agreed in writing.
Delayed payments may lead to suspension of services or termination.

5. Intellectual Property

We retain ownership of all pre-existing intellectual property and tools used in delivering the services.
Upon full payment, we grant you a non-exclusive, perpetual licence to the deliverables created for you.
You grant us permission to showcase the work as part of our portfolio or marketing materials unless you request otherwise in writing.

6. Confidentiality

Each party shall maintain confidentiality of all technical, business, financial or other proprietary information disclosed by the other party, except information which:
(a) is or becomes publicly known through no fault of the receiving party;
(b) is received from a third party without breach of any obligation;
(c) is independently developed by the receiving party.

7. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages.
Our total liability to you for all claims arising from or related to these Terms shall not exceed the total fees you paid us under the applicable project agreement.
We do not guarantee specific results (e.g., ranking in search engines, number of leads), unless explicitly committed in writing.

8. Termination

Either party may terminate the project agreement in accordance with the terms therein.
Upon termination, you shall pay for all work completed up to the date of termination. We may suspend or terminate access to the Service if you breach these Terms or you fail to make payment.

9. Changes to the Terms

We may revise these Terms at any time. We will post the updated terms on our website with the “Last updated” date. Continued use of the Service after changes constitutes acceptance of those changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tamil Nadu and India. Any disputes arising under or in connection with these Terms shall be subject to the jurisdiction of the courts in Chennai.
